1. Services
TREK Connex provides managed IT services, cybersecurity, consulting, and related support.
2. Client Responsibilities
Client agrees to:
- Provide accurate information
- Maintain internal security practices
- Comply with applicable laws
3. Payment Terms
- Payment due per agreement
- Late fees may apply
- Services may be suspended for non-payment
4. Service Availability
Services are provided on a best-effort basis and may be impacted by third-party systems.
5. Disclaimer of Warranties
Services are provided "as is" without warranties of any kind.
6. Security Disclaimer
No system is fully secure. Client retains responsibility for internal controls and user behavior.
7. CJIS Disclaimer
TREK Connex supports CJIS-aligned practices but does not guarantee compliance.
8. Third-Party Services and Reseller Disclaimer
TREK Connex acts as a reseller and integrator of third-party services.
Client acknowledges:
- TREK Connex is not the carrier or provider of underlying services
- Third-party terms apply
- Performance is not guaranteed
TREK Connex is not liable for:
- Carrier outages or failures
- Internet disruptions
- Third-party service issues
9. Errors and Omissions
TREK Connex performs services using commercially reasonable standards. However:
- Errors, omissions, or misconfigurations may occur
- No system is error-free
TREK Connex is not liable for such issues except in cases of gross negligence or willful misconduct.
10. Limitation of Liability
To the fullest extent permitted by law, TREK Connex is not liable for:
- Indirect or consequential damages
- Loss of revenue or data
- Third-party failures
- Cyber incidents or force majeure events
Total liability is limited to fees paid in the prior three (3) months.
11. Arbitration Agreement
All disputes shall be resolved through binding arbitration:
- Location: Oklahoma
- Rules: American Arbitration Association (AAA)
- Decision is final and enforceable
12. Attorney Fees and Collections
Client agrees to pay reasonable attorney fees, court costs, and collection expenses.
13. Injunctive Relief
TREK Connex may seek injunctive relief for security or contractual violations.
14. Termination
Either party may terminate per agreement. Outstanding balances remain due.
